VALLORIA PROPERTIES
General Terms and Conditions and Platform Rules
Version 1.0 - 7 October 2026
These General Terms and Conditions and Platform Rules ("Terms") govern the use of the international property and investment network Valloria Properties ("Valloria", "Platform"). The operator is the Swiss legal entity identified in the legal notice at www.valloria.ch. Contact: office@valloria.ch. Together with any deal-specific agreements, Proposals and service confirmations, these Terms form the contractual basis between Valloria and the respective user.
Art. 1 - Scope
These Terms apply to all individuals and legal entities using Valloria, particularly buyers, investors, owners, sellers, brokers, developers, property developers, project providers, network and cooperation partners, and professional service providers.
They apply particularly to registration, property and project submissions, search and investment profiles, public and non-public Opportunities, Private Investment Access, qualification, verification, matching, Deal Activation, Active Deal Services and Closing.
Each person enters into their contract with Valloria independently and on their own behalf. Buyers or investors, on the one hand, and sellers or providers, on the other, are generally independent contracting parties in relation to Valloria.
Art. 2 - Valloria as an online platform and network
Valloria operates a Switzerland-based digital international platform bringing together qualified supply and demand in the property and investment sector.
The core process is: Network -> Qualification -> Verification -> Match -> Match Accepted -> Deal Activation -> optional Active Deal -> Closing -> Closed.
Valloria is not automatically a party to the purchase, sale, participation, project or other principal contract between users and does not make legally binding declarations on behalf of a principal party without express authority.
Art. 3 - Contract formation through the Platform
By registering and expressly accepting these Terms, the user enters into a Valloria platform contract with Valloria.
Before binding registration, the user must be able to view the Terms and expressly confirm acceptance of the Valloria Platform Rules.
Registration alone does not create any entitlement to activation, publication, a Match, Private Investment Access, release of contact details or completion of a transaction.
Additional deal-specific conditions apply to a specific Match; these are displayed or communicated separately and expressly accepted.
Art. 4 - Separate contracts and individual fee obligations
Each user acts in their own name and for their own account in relation to Valloria, unless otherwise expressly disclosed and accepted.
Buyers or investors and sellers or providers each enter into a separate agreement with Valloria and each owe only their own agreed Valloria fees.
A user's internal commission, franchise, agency, employment, cooperation or remuneration agreements with third parties do not change the fees owed to Valloria.
A party assumes another party's fees only under an express agreement with Valloria.
Art. 5 - Free network phase
Unless otherwise specified in the particular offer, registration, profile creation, property submission, project submission, a search or investment profile, basic qualification, basic verification and inclusion in the matching process are initially possible without a Deal Activation Fee.
The free network phase does not create any entitlement to a Match, release of contact details or a transaction.
Art. 6 - User information and obligations
Users must provide all information truthfully, completely and keep it up to date.
Providers confirm that they are entitled to make submissions, disclose existing mandates or material restrictions, and inform Valloria of relevant changes.
Buyers and investors confirm the accuracy of their information, particularly regarding identity, search profile, budget, investment criteria and financing status.
Valloria may request additional evidence where necessary for qualification, verification, security or regulatory requirements.
Art. 7 - Content, images and documents
Users may submit only content, images, plans and documents that they are entitled to use.
The user grants Valloria the rights of use necessary for operating the Platform, presentation, translation, storage, matching and controlled disclosure.
Valloria decides whether content is shown publicly, within the network, Off-Market or through Private Investment Access, taking agreed confidentiality into account.
The user remains responsible for the factual and legal accuracy of their content.
Art. 8 - Review and verification
Valloria may carry out identity, source, document and plausibility checks on users, sources, properties, projects and documents.
Designations such as Approved for Listing, Source Verified, Match Ready or Private Access Approved do not constitute comprehensive legal, tax, technical or economic due diligence.
Approval by Valloria is not a guarantee of ownership, building permits, value, returns, financing, lettability, technical condition or economic success.
Art. 9 - Matching
Valloria may use available data to identify possible matches between supply and demand.
A Match means only that Valloria has identified a potentially suitable connection. It does not yet create a payment obligation, release of contact details, an obligation to purchase or sell, or a guarantee of success.
Art. 10 - Match Acceptance
Before fully releasing contact details or information, Valloria may require both parties' consent to the Match.
Each party independently decides whether to accept the Match. A deal may be activated only after both parties have expressed interest and Valloria has approved it.
Art. 11 - Deal Activation
Deal Activation turns a qualified Valloria Match into a specific protected business contact.
Deal Activation may include, in particular, communication with both parties, a qualified introduction, controlled release of contact details, a Deal ID, client protection, and initial coordination of information and documents.
The regular Deal Activation Fee is generally between CHF/EUR 1'500 and CHF/EUR 2'500 per party and deal. The specific amount is displayed or communicated before activation and accepted separately by each party.
The Deal Activation Fee is not credited against the subsequent Closing Platform Fee.
Art. 12 - Due date and refund of the Deal Activation Fee
The Deal Activation Fee becomes due upon confirmed Deal Activation.
Following Deal Activation, there is generally no entitlement to a refund if a user changes their mind, ends negotiations, deletes their account or voluntarily leaves the Platform.
Deal Activation Fees already owed or paid and approved Active Deal Services are not retroactively cancelled if no Closing occurs. Mandatory statutory rights remain reserved.
Art. 13 - Active Deal Services
Following Deal Activation, the parties may generally continue the transaction independently.
Additional work by Valloria is owed only if requested and accepted. This includes, in particular, additional email correspondence, additional communication, language support, translations, preparation of materials, document coordination, viewing coordination, negotiation support, coordination of local professionals, and due diligence or Closing coordination.
Such services are communicated before performance and charged only with the client's consent.
Art. 14 - Hourly rate for additional services
Unless another flat fee or remuneration is agreed, Valloria's regular hourly rate is CHF 180 per hour.
Consent may be given through the Platform, by email, an electronic Proposal or another recordable electronic confirmation.
External costs, travel expenses, translation services, lawyers, notaries, experts and other third-party costs are not included in the hourly rate and are passed on only by prior agreement or paid directly by the client.
Article 15 – Closing Fee
If a transaction is successfully concluded as a result of a contact or Match established, mediated or protected through Valloria, Valloria may be entitled to a Closing Fee from the respective party.
The amount and structure of the Closing Fee are agreed separately for each party and each deal. There is no general or automatically applicable standard commission.
The Closing Fee may be agreed, in particular, as:
- a percentage of the actual transaction value,
- a fixed amount,
- a share of an existing brokerage, intermediary or transaction commission,
- or a combination of these forms of remuneration.
The Closing Fee agreed with one party determines neither the amount nor the structure of the remuneration of another party involved in the transaction.
Valloria may therefore, for example, agree a different Closing Fee with an owner, seller, project provider or partner than with a buyer or investor.
The agreement or Proposal separately accepted by the respective party for the specific deal governs the amount, calculation basis, currency, due date and payment terms.
The Closing Fee is owed only if the event constituting success as defined in the respective Proposal or separate agreement occurs.
Where required by law, Valloria informs the respective party that Valloria may also receive remuneration in connection with the same transaction from another participating party, broker, partner or other intermediary.
Mandatory statutory provisions remain reserved.
Art. 16 - Calculation basis of the Closing Platform Fee
The basis is generally the transaction value actually agreed.
For a direct property purchase, this is generally the purchase price agreed in the final contract.
For portfolio sales, project transactions, share deals, equity participations, acquisitions, option structures or several connected contracts, the economically relevant aggregate value may be agreed as the calculation basis.
Pure incidental transaction costs, such as notary and land registry costs, are generally excluded from the calculation basis, unless otherwise agreed.
Art. 17 - Closing
A Closing occurs when the Match established through Valloria results in a legally binding and economically completed principal transaction.
For property transactions, this is generally legal completion or the corresponding notarial or country-specific completion stage.
Reservations and non-binding expressions of interest do not automatically constitute a Closing.
Art. 18 - Client protection and prohibition of circumvention
Contacts and Matches established through Valloria are protected.
A user may not continue a contact obtained through Valloria directly or indirectly outside the Platform with the aim of circumventing agreed Valloria fees.
The prohibition of circumvention includes, in particular, transactions through affiliated companies, representatives, nominees, closely related persons or other intermediaries where the economic origin of the contact was the Valloria Match.
The protection period is 15 months from Deal Activation, unless otherwise agreed for the specific deal. If a transaction economically based on the Valloria Match is concluded within this protection period, the Closing Platform Fee remains owed.
Art. 19 - Departure and termination of Platform use
A user may generally terminate their future use of the Platform.
Departure or account deletion does not extinguish claims that have already arisen. Due Deal Activation Fees, approved Active Deal Services, third-party costs, confidentiality, client protection, protection periods and Closing Platform Fees for protected subsequent transactions remain in effect.
If a user voluntarily decides not to continue after Deal Activation and no Closing occurs, there is no entitlement to a refund of the Deal Activation Fee or Active Deal Services already performed. Mandatory statutory rights remain reserved.
Art. 20 - Confidentiality and Private Investment Access
Information marked as confidential, private, Off-Market or Private Investment Access may be used only for the stated purpose.
Confidential documents, owner data, buyer data, financial information, project documentation and contact information may not be disclosed to unauthorised third parties.
Approval of Private Investment Access constitutes neither investment advice nor a recommendation to acquire a particular investment.
Art. 21 - Independent review of the transaction
Each party independently decides whether to enter into a transaction.
Depending on the transaction, Valloria recommends involving suitable local professionals such as lawyers, notaries, tax advisers, banks and technical experts.
Valloria does not provide legal, tax or investment advice unless such a service has been separately and expressly agreed and is professionally and legally permissible.
Art. 22 - Local and mandatory legal requirements
Valloria is an international online platform operated in Switzerland. The Platform Rules generally apply regardless of the property's location or the user's residence or place of business.
Mandatory local law remains reserved. Where a specific activity requires registration, a licence, a particular contractual form, a local professional or another mandatory prerequisite, Valloria may adapt the deal structure accordingly, involve a suitable local partner or decline the activity.
Describing remuneration as a platform, Deal Activation, service or Closing Fee does not override mandatory statutory provisions.
Art. 23 - No obligation to conclude and no guarantee of success
Valloria guarantees neither availability of an offer, a Match, financing, conclusion of a contract, sale price, returns nor any specific processing time.
Each party remains free not to conclude a transaction. However, this freedom of decision does not affect fee claims that have already arisen.
Art. 24 - Prices, taxes and invoicing
Before a payment obligation arises, the relevant user is informed of the remuneration applicable to them.
Where legally required, taxes or VAT are shown separately or included in the total price.
The currency shown on the invoice or deal agreement governs. Each user bears their own tax consequences, bank fees and currency conversion costs, unless otherwise agreed.
Art. 25 - Data protection
Valloria processes personal data for Platform operation, qualification, verification, communication, matching and implementation of deals.
Details are set out in Valloria's applicable Privacy Policy.
International deals may require the transfer of data to foreign parties, service providers or professional advisers; such transfers take place within applicable data protection rules and the agreed purpose.
Art. 26 - Liability, independent partners and international platform
Valloria operates an international online platform based in Switzerland. Through the Platform, users may be connected with owners, buyers, investors, estate agents, project developers, project providers, advisers and other independent partners from different countries.
Unless expressly agreed otherwise in writing, such brokers, agencies, project developers, advisers, service providers and network partners act independently in legal and economic terms. They are neither employees nor governing bodies nor representatives of Valloria and may not bind Valloria without express authority.
Each independent partner is responsible for complying with the legal and professional requirements applicable to their activities, particularly local permits and registrations, broker or intermediary licences, information obligations, professional rules, tax obligations, data protection, anti-money laundering, KYC and compliance requirements, and consumer protection.
Valloria may carry out identity, source, plausibility and document checks during onboarding. Such checks do not constitute ongoing professional, regulatory or operational supervision of the partner.
Given its international nature, Valloria is neither obliged nor practically able to continuously monitor the ongoing business activities of every independent broker, intermediary, developer or service provider in all countries.
Inclusion in the Valloria network, partner status, property approval or a designation such as Approved, Source Verified, Match Ready or Approved for Listing does not mean, in particular, that Valloria continuously monitors all professional actions or local permits of the partner or stands behind their statements.
To the extent permitted by law, Valloria is not liable for acts or omissions of independent third parties, particularly inaccurate or incomplete information, unauthorised assurances, errors in advice, violations of local professional or licensing rules, errors in contracts or documents, undisclosed commission or mandate arrangements, internal commission allocations or other violations by the independent third party.
Promises by an external partner regarding prices, returns, financing, tax consequences, ownership rights, building permits, possible uses, completion dates or other characteristics do not constitute promises by Valloria unless Valloria has expressly assumed them itself in writing.
Users must examine material legal, tax, technical and economic issues themselves or have them examined by suitable local professionals.
If Valloria identifies specific serious doubts about a partner's reliability, authority or legal compliance, Valloria may request further documents, suspend cooperation, block offers, withhold contacts or exclude the partner from the network.
The above limitations of liability do not apply to damage caused by Valloria itself intentionally or through gross negligence, or where mandatory law prohibits an exclusion or limitation.
Where Valloria expressly uses a third party to fulfil its own contractual obligation, the mandatorily applicable statutory liability provisions remain reserved.
Art. 27 - Suspension and exclusion
Valloria may temporarily suspend or exclude users in cases of knowingly false information, suspected fraud, attempts at circumvention, misuse of confidential information, non-payment, infringements of rights, serious compliance concerns or breaches of these Terms.
Fee claims and protection rights that have already arisen remain unaffected.
Art. 28 - Consumers and withdrawal rights
Where a user qualifies as a consumer under mandatory applicable law, mandatory consumer rights remain unaffected.
This particularly concerns statutory withdrawal or cancellation rights for service contracts concluded online.
If a consumer expressly requests Valloria to begin Deal Activation or another paid service before expiry of a statutory withdrawal period, Valloria may require separate express consent for this.
Where provided by law, a valid withdrawal may entail payment of the proportionate value of services expressly requested and already performed up to that point.
Art. 29 - Order of precedence of contractual documents
In the event of conflicts, the following order of precedence applies: mandatory statutory law; individual deal agreement; individually accepted Proposal; special service conditions; these Terms; general information on the website.
Art. 30 - Changes to these Terms
Valloria may amend these Terms for future use of the Platform. Material changes will be communicated appropriately.
Deals already activated on a binding basis will not be economically worsened retroactively by subsequent changes to the Terms. Where renewed consent is required, Valloria will obtain it.
Art. 31 - Electronic communication
The parties consent to electronic communication. Contractual declarations may be made through the user account, forms, email, electronic Proposals or electronic signature procedures.
Statutory special formal requirements for the actual principal transaction remain unaffected.
Art. 32 - Applicable law
Swiss law generally applies to the contractual relationship between Valloria and the user.
Mandatory provisions applicable under private international law or consumer protection rules remain reserved.
The actual property or project transaction may, independently of the Valloria platform contract, be governed by the law of the country in which the property or project is located.
Art. 33 - Jurisdiction
For business and professional users, to the extent legally permissible, jurisdiction lies at the registered office of Valloria's operator in Switzerland.
Mandatory statutory jurisdictions apply to consumers. Mandatory international jurisdiction rules remain reserved.
Art. 34 - Severability
Should a provision of these Terms be invalid, unenforceable or inapplicable under mandatory local law, the remaining provisions generally remain in effect.
To the extent legally permissible, the provision concerned is to be applied or replaced so as to preserve its economic purpose as far as possible.
Art. 35 - Principle of the Valloria network
Valloria is a qualified international online platform connecting property and investment offerings with buyers and investors.
Participation in the network is voluntary. Anyone activating a Valloria Match enters into a binding deal-specific agreement with Valloria.
Each party accepts its conditions separately and owes its own fees. Additional services are charged only by prior agreement.
Voluntary departure does not cancel services already performed and owed. Successful completion of a protected Valloria Match triggers the agreed Closing Platform Fee.
